Go Green Electric Inc.
This document forms part of the legal terms governing the sale, installation, commissioning, maintenance, and support of robotic systems supplied by Go Green Electric Inc. It is written for use across Canada, with Ontario as the primary governing jurisdiction.
This summary is for convenience only. It does not replace the full Agreement below.
Go Green Electric sells, installs, commissions, services, and supports commercial robots that are made by other companies — primarily Richtech Robotics and DEEP Robotics. We are not the manufacturer. We help you choose the right system, install the electrical and physical infrastructure it needs, set it up, and keep it running.
The full terms below govern all robotics sales, installation, and support unless a separate written agreement signed by Go Green Electric states otherwise. Electrical infrastructure work is also governed by our Commercial Electrical Services Agreement.

This Robotics Sales, Installation & Support Agreement (the "Agreement") applies between Go Green Electric Inc. ("Go Green Electric," "Company," "we," "us," or "our") and any customer, business, organization, or person that purchases, subscribes to, receives, operates, or pays for a robotic system or related services from us ("Customer," "you," or "your").
This Agreement sets out the terms under which we sell, lease, install, commission, maintain, and support commercial robotic systems manufactured by third parties, along with the related software, services, and accessories.
This Agreement is intended for use across Canada. Availability of products, installation, and support depends on location, licensing, manufacturer authorization, staffing, and travel requirements. Where work is performed outside Ontario, mandatory laws of that province or territory may also apply.
Go Green Electric is based in Ontario. Unless otherwise required by law or expressly agreed in writing, this Agreement is governed by the laws of Ontario and the federal laws of Canada applicable therein.
Electrical infrastructure required for a robotic system is governed by our Commercial Electrical Services Agreement. Use of our website is governed by our Terms of Service. Product returns and warranty handling are also addressed in our Warranty & Returns Policy.
A robotic unit, automated machine, autonomous or semi-autonomous device, or integrated automation system supplied by Go Green Electric, including its hardware, onboard software, firmware, sensors, batteries, chargers, docks, and accessories.
The third-party company that designs, builds, and provides the core technology and product warranty for a Robot, including Richtech Robotics, DEEP Robotics, or other suppliers we may carry.
"Software" means the applications, control programs, dashboards, mobile or cloud interfaces, and AI models used to operate or manage a Robot. "Firmware" means the embedded code that runs on the Robot's hardware. Both are generally licensed by the Manufacturer, not sold.
"Robotics-as-a-Service" — a subscription arrangement under which the Customer pays a recurring fee to use a Robot and related services, rather than purchasing the Robot outright.
The process of configuring, calibrating, testing, and verifying a Robot so that it is ready for its intended use at the Site.
The location where the Robot is delivered, installed, or operated.
All federal, provincial, territorial, municipal, regulatory, safety, product-safety, privacy, consumer-protection, and other laws and standards applicable to the products or services.
Includes paper documents, email, electronic signatures, approved digital forms, quotes, invoices, work orders, and other electronic records, unless a specific law requires another format.
Go Green Electric is a reseller, installer, integrator, and service provider. We do not manufacture robots. We select, supply, install, commission, maintain, and support systems built by others.
The Manufacturer is responsible for the design, engineering, build quality, core software and firmware, AI behaviour, product certifications, and product warranty of the Robot. Defects in the Robot itself are handled under the Manufacturer's warranty and policies.
We are responsible for the services we agree to provide — sales advice, electrical and physical installation, commissioning, configuration, and any maintenance or support plan you purchase — performed with reasonable skill and care.
You are responsible for providing a suitable operating environment, network, and power; operating the Robot safely and within its intended use; training and supervising your staff; following Manufacturer instructions; and meeting your payment obligations. Section 17 sets these out in detail.
We are not an agent of any Manufacturer and cannot bind a Manufacturer or expand a Manufacturer's warranty. Statements made by us about a product do not override the Manufacturer's own documentation.
We supply commercial robotic systems such as service, hospitality, delivery, cleaning, inspection, and quadruped or mobile platforms, together with their chargers, docks, sensors, and accessories.
Product descriptions, specifications, images, performance figures, and capabilities are provided by Manufacturers and are general information only. Actual performance depends on the environment, configuration, workload, and use. We do not guarantee that a Robot will achieve a specific output, speed, runtime, or labour saving unless expressly stated in writing.
Manufacturers may change, update, discontinue, or replace products, features, software, and services without notice. We may supply a comparable alternative where a specified product becomes unavailable.
We will make reasonable recommendations based on the information you provide. You are responsible for confirming that the chosen Robot suits your operational needs, premises, and workflow before purchase or subscription.
Quotes are based on the information available when prepared and on Manufacturer pricing and availability at that time. Unless stated as fixed, quotes are estimates and may change before acceptance.
An order is confirmed only when we accept it in writing and any required deposit is received. Some products are special-order and are subject to Manufacturer lead times.
Delivery and installation dates are estimates. We are not responsible for Manufacturer production delays, shipping delays, customs delays, or allocation limits.
Special-order, custom, or imported robotic products may be non-cancellable once ordered, or subject to Manufacturer cancellation and restocking charges. These are addressed in Section 24 and in our Warranty & Returns Policy.
Robotics pricing may include the product, installation, commissioning, training, accessories, support plans, travel, and applicable taxes. Pricing may be structured as an outright purchase, a RaaS subscription, or a combination.
Unless stated otherwise, prices exclude applicable taxes (GST, HST, PST, QST), which are added where required.
We may require a deposit before ordering products, reserving installation, or beginning work. Deposits on special-order products may be non-refundable.
Payment is due as stated on the quote, invoice, or subscription schedule. Late amounts may bear interest at the rate stated, or the maximum permitted by law if none is stated, and may result in suspension of service.
Because many robotic products are imported, pricing may be affected by currency exchange, tariffs, and Manufacturer price changes. We may revise pricing where supplier costs change before an order is placed.
RaaS lets you use a Robot for a recurring subscription fee, often with no money down, instead of buying it outright. The subscription typically bundles the use of the Robot, software access, standard support, and may include maintenance.
Under RaaS, the Robot remains the property of Go Green Electric or the Manufacturer at all times. You receive the right to use it for the subscription term. You do not acquire ownership unless a written purchase option is exercised.
The term, fee, billing cycle, included services, and any usage limits are set out in your subscription order. Fees are payable in advance for each billing period unless stated otherwise.
RaaS includes a licence to use the Robot's software and firmware for the term. The licence ends when the subscription ends. Features may change as the Manufacturer updates the platform.
You are responsible for loss, theft, or damage to the Robot beyond normal wear during the subscription, and for charges to repair or replace it, subject to any insurance arrangement.
You may cancel a RaaS subscription as set out in your subscription order. On cancellation or at the end of the term, you must make the Robot available for collection in good condition (normal wear excepted), with all accessories, chargers, and docks. Early cancellation may be subject to the notice period, outstanding fees, and any early-termination charge stated in your order. We may charge for missing accessories, excess wear, or damage on return.
At the end of a term you may, where offered, renew, upgrade to a newer system, purchase the Robot at the then-current price, or return it. Continued use after the term without renewal may be billed at the standard rate.
We will arrange delivery or pickup as agreed. Risk of loss for purchased Robots passes to you on delivery to the Site or to you, whichever is first.
For outright purchases, title passes to you once we have received payment in full. Until then, we retain a security interest in the Robot to the extent permitted by law.
For RaaS, title never passes to you unless a written purchase option is completed. The Robot remains our or the Manufacturer's property.
You must inspect deliveries promptly and report visible shipping damage or shortages in writing within the period stated in our Warranty & Returns Policy. Shipping damage is addressed in that Policy.
Robots require a suitable operating environment. Depending on the model, this may include level and stable floors, adequate clearance and turning space, defined operating zones, appropriate lighting, temperature and humidity within the Manufacturer's range, and freedom from excessive dust, water, or obstructions.
You must provide suitable electrical supply and charging locations meeting the Manufacturer's specifications. Where electrical upgrades, dedicated circuits, or charging infrastructure are required, that work is quoted and performed under our Commercial Electrical Services Agreement.
Many Robots require Wi-Fi or wired networking, internet access, and specific network configurations. You are responsible for providing and maintaining suitable network coverage and bandwidth, and for any firewall, security, or IT changes required.
Some Robots map and navigate your premises. Significant changes to layout, flooring, lighting, signage, or obstacles after commissioning may require re-mapping or re-calibration, which may be chargeable.
You must disclose conditions that affect installation or operation, including floor conditions, slopes, ramps, thresholds, network limitations, environmental hazards, high-traffic areas, and the presence of the public, children, or animals.
We will install and commission the Robot with reasonable skill and care, following Manufacturer procedures. Installation typically includes physical setup, electrical connection of chargers and docks, network connection, software setup, calibration, mapping where applicable, and functional testing.
On completion of commissioning, we will demonstrate that the Robot performs its core intended functions. Your representative's participation in, and sign-off on, acceptance testing constitutes acceptance of the installation, except for any deficiencies documented at that time.
Commissioning depends on the Site, power, and network being ready, and on Manufacturer software, licences, and cloud services being available. Delays caused by site readiness, network issues, or Manufacturer-side activation are not our responsibility.
Additional visits required because of site changes, network problems, customer-caused delays, or conditions outside our scope may be billed separately.
Software and firmware are licensed by the Manufacturer under the Manufacturer's licence terms, which you agree to follow. You receive a right to use them with the Robot; you do not own them.
Manufacturers may issue software and firmware updates that add, change, or remove features, or that are required for security, safety, or continued operation. Some updates are mandatory. We are not responsible for changes a Manufacturer makes to its software, features, or services.
We do not guarantee that any feature, integration, app, or cloud service will remain available, compatible, or unchanged for any period. Continued functionality may depend on the Manufacturer maintaining its platform.
Your use of the Robot's software, apps, and cloud services is also subject to the Manufacturer's and any third party's terms of use, licence, and privacy terms.
You must not reverse-engineer, tamper with, jailbreak, or modify the Robot's software or firmware, or install unauthorized software, except as permitted by the Manufacturer.
Robots may use artificial intelligence, machine learning, computer vision, and autonomous or semi-autonomous decision-making. These systems are powerful but not perfect. They can misperceive their surroundings, make errors, behave unexpectedly in unusual conditions, or fail to detect a person, object, or hazard.
Autonomous features do not remove the need for human supervision. You must maintain appropriate oversight, supervision, and the ability to stop the Robot, especially in areas with people, children, animals, traffic, or valuable property.
AI and autonomy are designed for the Robot's intended commercial use within its rated limits. Using the Robot outside its intended environment or limits increases risk and may be unsafe.
We do not warrant that AI features will be accurate, error-free, or fit for any particular decision. Outputs and behaviours generated by AI should be reviewed by a competent person before being relied upon.
The design and training of the Robot's AI is the Manufacturer's responsibility. Our role is limited to configuring and supporting the system as supplied.
Some Robots require ongoing internet or cloud connectivity to operate, update, or provide features. Loss of connectivity may reduce or disable certain functions.
Cloud dashboards, analytics, remote management, and similar services are provided by the Manufacturer or a third party under their terms, and may be changed, interrupted, or discontinued by them. We are not responsible for the availability or performance of third-party cloud services.
You are responsible for the security of your own network. We recommend appropriate segmentation, access control, and security practices for connected devices. We are not liable for security incidents arising from your network or from Manufacturer or third-party systems.
We are not responsible for downtime, reduced function, or data loss caused by internet outages, Manufacturer or cloud-provider outages, or changes to third-party services.
Batteries are consumable components with a finite lifespan. Their capacity and runtime naturally decline with use, age, charge cycles, and temperature. Reduced runtime over time is normal and is not a defect.
You must charge, store, and handle batteries strictly according to the Manufacturer's instructions, using only approved chargers and docks. Improper charging or storage can be dangerous and can void warranty coverage.
Lithium and other batteries can pose fire or chemical hazards if damaged, overheated, punctured, modified, or used improperly. Report any swelling, leaking, overheating, or damage immediately and stop using the battery.
Batteries are typically covered by a limited Manufacturer warranty that is shorter than the warranty on the Robot, and gradual capacity loss is usually excluded. Replacement batteries are a chargeable consumable unless covered by a specific plan.
Batteries must be disposed of or recycled in accordance with Applicable Law. We can advise on proper disposal where required.
We will provide reasonable initial training on basic operation as agreed. You are responsible for ensuring everyone who operates or works near the Robot is trained and follows the Manufacturer's instructions and safety guidance.
Where a Robot operates in spaces accessible to the public, you are responsible for appropriate signage, supervision, and crowd management consistent with Manufacturer guidance and Applicable Law.
You must keep the Manufacturer's manuals and safety documentation available to operators and follow them.
Maintenance and support are provided only to the extent set out in a support plan, RaaS subscription, or written work order. Coverage may include remote support, software assistance, scheduled maintenance, priority response, and discounted parts or labour.
Any response or resolution targets are good-faith goals, not guarantees, and depend on parts availability, Manufacturer support, and access to the Site. They are not guaranteed uptime commitments unless expressly stated in writing.
Work outside a plan — including damage from misuse, accidents, unauthorized changes, environmental factors, or third-party service — is billed separately at our standard rates.
Consumables such as batteries, brushes, filters, wheels, and wear parts are generally not included unless a plan states otherwise.
Some repairs, parts, and software fixes are only available from the Manufacturer. We are not responsible for Manufacturer delays, discontinued parts, or end-of-support decisions.
In addition to obligations stated elsewhere, you agree to:
Failure to meet these responsibilities may affect warranty coverage, support, safety, and our ability to perform.
Robots are covered by the Manufacturer's product warranty, which is provided directly by the Manufacturer under its own terms, duration, and conditions. The Manufacturer's warranty is the primary warranty for defects in the Robot, its software, and its firmware.
We warrant our own installation and commissioning workmanship for the period stated in your order or in our Warranty & Returns Policy. This covers defects in how we performed our work, not defects in the Robot itself.
We will assist you in making Manufacturer warranty claims where reasonable, but we do not guarantee the outcome, timing, or approval of a Manufacturer claim, and we are not responsible for Manufacturer warranty decisions.
Warranties do not cover misuse, accidents, neglect, unauthorized modification or service, environmental damage, consumables and normal wear, damage from improper power or network, failure to follow instructions or apply updates, or events beyond reasonable control.
Nothing in this Agreement removes consumer rights that cannot legally be waived. Where mandatory consumer-protection law gives you rights that cannot be limited, those rights apply.
Except as expressly stated in writing, we do not guarantee that a Robot will achieve a particular productivity, runtime, accuracy, labour saving, or return on investment. Real-world results depend on factors outside our control.
You acknowledge the limitations of autonomous systems described in Section 12 and accept that human oversight is required.
We are not responsible for the acts, omissions, software, services, warranties, or decisions of Manufacturers, cloud providers, carriers, or other third parties.
We are not responsible for problems caused by unsuitable sites, inadequate power or network, customer modifications, failure to maintain or update, misuse, or failure to follow instructions.
To the maximum extent permitted by law, Go Green Electric's total aggregate liability arising out of or relating to a Robot or the related services is limited to the amount you paid to us for that Robot or service (or, for RaaS, the fees paid in the twelve months before the claim).
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, production, data, goodwill, or anticipated savings, even if advised of the possibility.
Nothing in this Agreement limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, or any other liability that Applicable Law does not allow to be excluded.
You acknowledge that these limitations reflect a reasonable allocation of risk and are part of the basis on which pricing is set.
To the extent permitted by law, you agree to indemnify and hold harmless Go Green Electric from claims, damages, losses, and costs arising from your operation or misuse of a Robot, your failure to supervise or train operators, your failure to maintain a safe environment, your breach of this Agreement, or your failure to follow Manufacturer or safety instructions, except to the extent caused by our negligence or breach.
Robots may collect data such as sensor readings, navigation maps, images or video, usage logs, and performance data. This data may be processed on the Robot, on your systems, or by the Manufacturer's cloud, depending on the product.
Where a Robot operates in spaces with people, you are responsible for meeting privacy-law obligations that apply to you, including notice and signage where cameras or recording are used.
Our handling of your personal information is described in our Privacy Policy. Manufacturer and cloud data handling is governed by the Manufacturer's terms.
This Agreement applies from the time you order, purchase, or subscribe and continues while you own or use a Robot or receive related services.
We may suspend services, support, or RaaS access for non-payment, unsafe use, breach of this Agreement, or where required by a Manufacturer or by law.
Either party may terminate a service or subscription as set out in the relevant order. We may terminate immediately for serious breach, unsafe operation, or non-payment that is not remedied after notice.
On termination of RaaS, you must return the Robot per Section 7. Amounts owing for products, services, and the current period remain payable. Provisions that by their nature should survive (including liability, indemnity, and payment) survive termination.
Robotic systems are frequently special-order or imported and may be non-returnable, or returnable only subject to Manufacturer approval, restocking fees, and return-shipping costs. Details are in our Warranty & Returns Policy.
RaaS returns and end-of-term obligations are governed by Section 7 and your subscription order.
Returned Robots must be complete, undamaged beyond normal wear, and include all accessories, chargers, and docks. Charges may apply for missing items, excess wear, or damage.
This Agreement, together with your order, any RaaS subscription, our Commercial Electrical Services Agreement (for infrastructure), and our Warranty & Returns Policy, forms the entire agreement for robotics sales, installation, and support, and replaces prior discussions on the subject.
If documents conflict, a signed agreement prevails, then a signed order or subscription, then this Agreement, then general website content, unless law requires otherwise.
You may not assign this Agreement or transfer a Robot or subscription without our written consent. We may assign to a successor or affiliate.
Neither party is liable for delay or failure caused by events beyond reasonable control, including supply-chain failures, Manufacturer shutdowns, cyber incidents, utility or internet failures, natural events, and government actions.
This Agreement is governed by the laws of Ontario and the federal laws of Canada applicable therein, subject to mandatory laws of the province or territory where a Robot is delivered or used.
If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision is limited only to the extent necessary.
We may update this Agreement from time to time. The version in effect when you place an order or subscribe applies to that transaction.
