This document is intended to form part of the legal terms and conditions governing electrical services provided by Go Green Electric Inc. It is written for use across Canada, with Ontario as the primary governing jurisdiction.
Because electrical contracting, construction law, consumer protection, prompt payment, lien rights, permitting, and inspection requirements vary by province and territory, this document should be reviewed by qualified legal counsel before publication or use.

This Commercial Electrical Services Agreement applies between Go Green Electric Inc. and any customer, client, property owner, business, organization, contractor, developer, tenant, landlord, property manager, facility manager, or other person or entity that requests, authorizes, receives, or pays for electrical services.
In this Agreement, Go Green Electric Inc. may be referred to as "Go Green Electric," "Company," "we," "us," or "our."
The customer may be referred to as "Customer," "Client," "you," or "your."
This Agreement establishes the general terms and conditions under which Go Green Electric provides electrical services, including quotations, installations, repairs, upgrades, service calls, maintenance, inspections, troubleshooting, automation-related electrical work, and related services.
This Agreement is intended for use across Canada. However, electrical work is regulated differently in each province and territory.
All services are subject to:
Go Green Electric is based in Ontario. Unless otherwise required by law or expressly agreed in writing, this Agreement shall be interpreted under the laws of Ontario and the federal laws of Canada applicable therein.
However, where a project is performed outside Ontario, mandatory laws of the province or territory where the project is located may also apply.
For the purposes of this Agreement, the following terms have the meanings set out below.
"Agreement" means this Commercial Electrical Services Agreement, including any related quote, estimate, work order, invoice, proposal, change order, service agreement, purchase order, schedule, policy, or written document incorporated by reference.
"Applicable Law" means all federal, provincial, territorial, municipal, regulatory, utility, safety, electrical, building, construction, consumer protection, lien, tax, environmental, employment, occupational health and safety, accessibility, privacy, and other laws, regulations, rules, codes, bylaws, orders, directives, and standards applicable to the services or project location.
"Authorities Having Jurisdiction" means any governmental, regulatory, safety, utility, inspection, permitting, licensing, municipal, provincial, territorial, or federal authority with jurisdiction over the services, site, project, electrical system, equipment, or installation.
"Change Order" means any written or approved change to the original scope of work, including changes to labour, materials, design, equipment, schedule, access, price, site conditions, or customer requirements.
"Customer" means the person or entity requesting, authorizing, receiving, or paying for services from Go Green Electric.
"Electrical Services" means electrical contracting, installation, repair, upgrade, replacement, inspection support, service calls, troubleshooting, maintenance, wiring, panel work, lighting, automation-related electrical work, EV charger installation, generator-related electrical work, controls, robotic-equipment electrical support, and other services offered by Go Green Electric.
"Estimate" means an approximate projection of cost based on information available at the time. An Estimate is not a guaranteed final price unless expressly stated in writing.
"Fixed Quote" means a written quote expressly identified by Go Green Electric as fixed-price. A quote is not fixed-price unless it clearly says so.
"Materials" means all parts, fixtures, wires, panels, breakers, conduits, fittings, devices, equipment, hardware, supplies, consumables, components, replacement parts, special-order products, and related items used or supplied in connection with the services.
"Project" means the electrical work, service call, installation, repair, upgrade, maintenance, or related work requested by the Customer.
"Site" means the property, building, unit, facility, home, commercial space, industrial facility, agricultural property, construction site, or other location where services are performed.
"Substantial Completion" means the stage at which the services are sufficiently complete for their intended general use, subject to minor deficiencies, final inspection, customer-supplied items, authority approvals, or outstanding adjustments.
"Written" or "in writing" includes paper documents, email, electronic signatures, approved digital forms, text confirmation, customer portals, estimates, invoices, work orders, and other electronic records, unless a specific law requires a different format.
This Agreement applies to all Electrical Services provided by Go Green Electric unless a separate signed written agreement states otherwise.

If there is a conflict between this Agreement and another written document, the following order of priority applies unless otherwise required by law:
Information on the Go Green Electric website is general information only. Website descriptions, photos, examples, service lists, and promotional materials do not create a binding obligation unless incorporated into a written quote, work order, or signed agreement.
This Agreement may apply to both commercial and consumer customers.
Where consumer protection laws apply, nothing in this Agreement is intended to remove rights that cannot legally be waived. If a mandatory consumer protection law gives a Customer rights that cannot be limited, those rights will apply.
Where the Customer is a business, corporation, partnership, landlord, property manager, developer, contractor, institution, government entity, or commercial organization, the Customer acknowledges that it is entering into this Agreement for business or commercial purposes.
Go Green Electric's primary operating base is Ontario, Canada.
The Company may provide services in Ontario and may also provide services elsewhere in Canada where legally permitted and commercially practical.
Go Green Electric may sell, coordinate, install, support, or service electrical equipment, automation systems, robotic equipment, and related products across Canada, subject to the limitations in this Agreement.
Because electrical work is regulated by province and territory, work outside Ontario may require:
For projects outside Go Green Electric's direct licensed operating area, Go Green Electric may, where appropriate, coordinate with local licensed electricians, subcontractors, manufacturers, service partners, or installation partners.
The Customer acknowledges that local requirements may affect pricing, scheduling, warranty handling, and service availability.
Go Green Electric may decline any project or service request where:
The specific scope of work for each project shall be set out in a written quote, proposal, service agreement, work order, invoice, or other written communication.
Only the work expressly included in the written scope is included in the quoted price.
Unless expressly included in writing, the following are excluded:
Quotes and estimates may be based on assumptions, including assumptions about:
If assumptions are incorrect, pricing and schedule may change.
Go Green Electric does not provide professional engineering services unless expressly stated in writing and performed or approved by a properly licensed professional engineer.
Any engineering drawings, stamped designs, load calculations, or professional certifications required by an authority, utility, insurer, landlord, or project owner are the Customer's responsibility unless expressly included in the written scope.
Go Green Electric does not control utility providers. The Company is not responsible for utility delays, utility disconnections, utility reconnections, service upgrades, transformer availability, meter work, hydro approvals, or other utility-controlled activities.
Services, products, installation dates, maintenance plans, and response times may vary by location.
Availability depends on:
Go Green Electric is not obligated to perform any service until the Company accepts the project in writing and any required deposit, signed agreement, or authorization has been received.
Projects involving robotics, automation, commercial equipment, industrial systems, remote locations, multi-province work, or specialty products may require additional review before acceptance.
Go Green Electric may provide written quotes, estimates, proposals, or budgets. These documents are based on the information available at the time they are prepared.
Unless expressly stated as a Fixed Quote, all estimates are approximate only.
Final pricing may change due to:
A Fixed Quote applies only to the specific written scope, assumptions, and conditions stated in the quote.
A Fixed Quote may be revised if:
Unless otherwise stated, quotes are valid for the period specified in the written quote.
If no validity period is stated, a quote may be withdrawn or revised at any time before acceptance.
A quote may be accepted by:
Customer purchase orders do not override this Agreement unless Go Green Electric expressly agrees in writing.
Any terms printed on or attached to a Customer purchase order are rejected unless specifically accepted in writing by Go Green Electric.
Pricing may be based on:
Go Green Electric will make reasonable efforts to communicate applicable charges clearly.
However, project-specific variables may affect final pricing, especially where work involves troubleshooting, unknown site conditions, repairs, renovations, code corrections, emergency work, or third-party requirements.
Unless expressly stated otherwise, prices do not include applicable taxes, including GST, HST, PST, QST, or other taxes applicable in the project location.
Travel, mobilization, mileage, accommodation, meals, ferry fees, tolls, parking, equipment transportation, remote access charges, and related expenses may be charged where applicable.
This is especially applicable for work outside the Company's normal local service area.
Emergency, evening, weekend, holiday, rush, or after-hours services may be billed at premium rates.
Diagnostic, inspection, investigation, troubleshooting, and site-assessment fees may apply even if the Customer chooses not to proceed with repair or installation work.
Material and equipment pricing may change due to supplier pricing, currency exchange, tariffs, shipping costs, manufacturer changes, product availability, and market conditions.
Go Green Electric may revise pricing where supplier costs change before materials are ordered, delivered, or installed.
Go Green Electric may require a deposit before:
Deposits may be non-refundable where they cover:
Deposits may be applied toward the final invoice unless otherwise stated.
Go Green Electric is not required to schedule or begin work until any required deposit has been paid and cleared.
Payment is due according to the written quote, invoice, work order, service agreement, or payment schedule.
If no payment date is stated, payment is due upon receipt of invoice.
For larger projects, Go Green Electric may require progress payments based on:
Acceptable payment methods may include e-transfer, cheque, credit card, bank transfer, electronic payment, financing provider, or other methods approved by Go Green Electric.
Additional processing fees may apply where permitted by law.
Late payments may result in:
Overdue amounts may bear interest at the rate stated on the invoice, quote, or agreement.
If no rate is stated, overdue amounts may bear interest at the maximum rate permitted by Applicable Law.
Unless required by law, the Customer shall not withhold, deduct, set off, or back-charge amounts owing to Go Green Electric without prior written agreement.
If the Customer disputes an invoice, the Customer must notify Go Green Electric in writing within seven calendar days of receiving the invoice and must identify the specific disputed amount and reason.
Undisputed amounts remain payable when due.
The Customer is responsible for all applicable taxes, including GST, HST, PST, QST, sales taxes, excise taxes, environmental fees, recycling fees, and other taxes or charges imposed by law.
Permit, notification, inspection, re-inspection, utility, municipal, engineering, and authority fees are the Customer's responsibility unless expressly included in writing.
Additional charges may apply for:
Where a charge is imposed by law, tax, regulation, utility, municipality, inspection authority, or other authority, Go Green Electric may pass that charge to the Customer.
Where financing is offered or arranged through a third-party provider, the financing relationship is between the Customer and the financing provider.
Go Green Electric is not responsible for financing approval, interest rates, payment schedules, credit decisions, or financing terms unless expressly required by law.
If payment is expected from an insurer, landlord, tenant, contractor, property manager, financing company, grant program, government program, or other third party, the Customer remains responsible for payment unless Go Green Electric expressly agrees otherwise in writing.
Go Green Electric does not guarantee eligibility for rebates, incentives, grants, tax credits, or utility programs unless expressly stated in writing.
The Customer is responsible for confirming eligibility and submitting required applications unless Go Green Electric expressly agrees to assist.
The Customer represents and warrants that they have authority to request, approve, and pay for the services.
The Customer represents that they have lawful authority to permit Go Green Electric to access and perform work at the Site.
This includes any required authorization from:
Go Green Electric is not responsible for disputes arising because the Customer lacked authority to approve work.
The Customer agrees to indemnify Go Green Electric for claims, damages, costs, or losses arising from lack of authorization.
Robotic equipment sales, robotic installation, robotic commissioning, software setup, autonomous system configuration, robot training, cloud services, AI features, and manufacturer warranty issues may be governed by a separate Robotics Sales and Installation Agreement.
Use of the Go Green Electric website is governed by the Website Terms of Service.
Collection, use, storage, and disclosure of personal information is governed by the Go Green Electric Privacy Policy.
Product returns, workmanship warranty, manufacturer warranty coordination, restocking fees, special-order products, and warranty limitations may also be governed by the Warranty and Returns Policy.
Where a signed agreement directly conflicts with this Agreement, the signed agreement shall prevail only to the extent of the conflict.
